Terms of Service

1. Acceptance of Terms

By accessing or using the CloudTask website ("Site") and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use the Site or services. These Terms constitute a legally binding agreement between you and CloudTask Inc. ("CloudTask," "we," "us," or "our").

2. Description of Services

CloudTask operates a managed marketplace that connects companies with pre-vetted, remote Go-To-Market (GTM) talent from Latin America and the Caribbean. Our services include talent matching, certification programs (SkillBridge), and ongoing workforce management support.

3. Eligibility

You must be at least 18 years of age and capable of forming a binding contract to use our services. By using the Site, you represent and warrant that you meet these requirements. If you are using the services on behalf of a company, you represent that you have authority to bind that entity to these Terms.

4. User Accounts

  • You are responsible for maintaining the confidentiality of your account credentials
  • You agree to provide accurate and complete information during registration
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized use of your account

5. For Companies (Hiring Clients)

  • You agree to provide accurate role descriptions and hiring requirements
  • You acknowledge that CloudTask facilitates introductions but does not guarantee hiring outcomes
  • Payment terms, service fees, and engagement structures will be outlined in a separate service agreement
  • You agree not to circumvent CloudTask to engage directly with talent introduced through the platform

6. For Talent

  • You agree to provide accurate and truthful information in your profile, including skills, experience, and certifications
  • You agree to maintain professional conduct in all interactions facilitated through CloudTask
  • Engagement terms, compensation, and working arrangements will be outlined in a separate agreement
  • Participation in SkillBridge or other certification programs is subject to additional program-specific terms

7. Intellectual Property

All content on the Site — including text, graphics, logos, icons, images, and software — is the property of CloudTask or its licensors and is protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any content on the Site without our express written permission.

8. Prohibited Conduct

You agree not to:

  • Use the Site for any unlawful purpose or in violation of any applicable laws
  • Misrepresent your identity, qualifications, or affiliation
  • Attempt to gain unauthorized access to any portion of the Site or its systems
  • Interfere with or disrupt the operation of the Site
  • Scrape, harvest, or collect data from the Site without authorization
  • Use automated systems (bots, crawlers) to access the Site beyond what is permitted by robots.txt

9. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CLOUDTASK DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CLOUDTASK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SITE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless CloudTask and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of the Site or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Site at any time, with or without cause, and with or without notice. Upon termination, your right to use the Site will immediately cease. Sections that by their nature should survive termination shall remain in effect.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Delaware.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be posted on this page with an updated "Last updated" date. Your continued use of the Site after changes constitutes acceptance of the revised Terms.
